1) Acceptance of These Terms

By accessing the Site, creating an account, submitting a membership application, or purchasing a membership, you (“you,” “your,” or “Member”) agree to these Terms & Conditions and our Privacy and Cookie policies. If you do not agree, do not use the Site or purchase a membership.

If you purchase a paid membership, you authorize recurring monthly charges until you cancel (see Section 5).

We may update these Terms from time to time. Material changes will be posted on the Site with a new effective date and, where appropriate, sent by email. Your continued use of the Site—used solely for applications, account access, and billing—after changes means you accept the revised Terms.

2) What RPG Is

RPG is a licensed real estate brokerage. Our brokerage status enables us to act as the brokerage of record for referral transactions generated through RPG programs and participating partners. We do not use the Site to list or sell homes.

When a Member closes a transaction that arose from one of these programs, any referral fee owed under the applicable agreement is remitted off-platform to RPG (or the designated brokerage of record) and disbursed in accordance with that agreement and applicable law. Referral-fee amounts and terms are set by those agreements and are not contingent on membership dues.

All referral-fee arrangements and payments occur off-platform via standard broker-to-broker procedures; the Site is used only to manage membership and subscription billing.
Members are responsible for complying with state licensing rules, broker policies, and federal law (including RESPA) in any referral activity.

Referral fees are not collected or paid through the Site.

3) Eligibility, Application, and Accounts

3.1 Eligibility

You must be at least 18 years old and a licensed real estate professional in good standing (agent or broker) to join.
You must be able to form a binding contract and use the Site only for business purposes.

3.2 Application & Approval

All memberships require an application and manual review. Approval is at RPG’s discretion.
You agree all information you provide is accurate and current, and you will keep it updated.
If your application is not approved, any pending payment authorization will be voided or refunded.

3.3 Accounts & Security

Keep your login credentials confidential. You are responsible for all activity under your account.
Do not share your login or transfer your membership without our permission.
Notify us immediately at membership@referralprogroup.com if you suspect unauthorized access.

4) Membership Plans and Benefits

4.1 Plans & Pricing (monthly only)

Founding Member: $TBA/month

Plan benefits are described on the Site and may evolve. We may add, modify, or discontinue features; material adverse changes to paid features will be communicated in advance.

4.2 Community Features

Depending on plan and availability, benefits may include networking opportunities, learning resources, virtual or in-person events, and other tools that help professionals connect. The Site does not include a public member directory.

RPG does not guarantee specific business outcomes, lead volume, or revenue. Membership provides access to a community and resources; results depend on your own efforts.

5) Billing, Auto-Renewal, Cancellation, and Refunds

5.1 Billing & Auto-Renewal

Memberships bill monthly in advance and auto-renew each month until you cancel.
You authorize RPG (or its processor) to charge your payment method the applicable monthly amount (plus taxes/fees if any) each billing cycle.
Keep your payment method current. If a charge fails, we may suspend or terminate access until resolved.

5.2 Price Changes

We may change pricing for future billing cycles. We will provide advance notice by email or on the Site. If you do not agree to the new price, cancel before the next renewal. Continuing service after the effective date means you accept the new price.

5.3 Cancellation (anytime)

Cancel any time in your account settings or by emailing membership@referralprogroup.com from the email on file. Cancellation is effective at the end of the current paid month; access continues through that date.

5.4 Refunds & Proration

All membership payments are non-refundable. We do not issue refunds or proration for partial months upon cancellation; access remains active through the end of the current paid cycle.

Level changes: If you upgrade your membership, you will be charged a prorated amount for the higher plan for the remainder of your current billing cycle (your prior payment is applied and not forfeited). If you downgrade your membership, a prorated credit for the difference will be applied to future subscription payments (credits are not paid out as cash refunds).

6) Acceptable Use and Professional Conduct

You agree to:

Act professionally and respectfully toward other Members.
Comply with applicable real estate licensing laws and ethical codes.
Use the Site only for application, account, and billing purposes; networking and collaboration occur off-platform.
Maintain confidentiality of information you learn through RPG programs and partners; do not post client nonpublic personal information (NPPI) anywhere on the Site.
Not upload unlawful, infringing, defamatory, harassing, or malicious material; no viruses or harmful code.
Not scrape, harvest, or bulk-download Site data.

We may suspend or terminate access for violations and take other actions permitted by law.

7) Networking, Referrals, and Compliance

RPG is a licensed real estate brokerage. Referral activity associated with RPG programs or participating partners is handled off-platform and in accordance with written agreements and applicable law.

Off-platform referral procedures: Any referral fees due for qualifying closed transactions are remitted off-platform (e.g., check or ACH) to RPG or the designated brokerage of record and disbursed under the applicable agreement and law.
Member-to-member referrals: When Members independently refer clients to one another, any compensation must be handled off-platform between the appropriate brokerage entities under their own broker-to-broker agreements and in compliance with federal and state law (including RESPA).
No on-site fee negotiations: Do not advertise, negotiate, or exchange compensation on the Site for the mere act of referring a client. Keep fee discussions and documentation within your brokerage channels. The Site does not provide messaging forums, listing tools, or any mechanism to negotiate referral compensation.
Compliance responsibilities: Members are responsible for adhering to their state licensing rules, their broker’s policies, and all applicable laws. RPG makes no guarantee of referrals, introductions, or results.

Certain RPG programs may include an RPG brokerage administrative or referral fee; applicable terms are defined in the governing program or broker agreements.

8) Intellectual Property and Member Content

8.1 Our IP

The Site, brand, logos, software, and content are owned by RPG or its licensors and protected by law. Except for the limited license below, no rights are granted.

8.2 Your License to Use the Site

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Site and membership features for your professional purposes, subject to these Terms.

8.3 Member Content on the Site

The Site does not host member-generated content. It is used solely to manage membership applications, approvals, and monthly billing. Do not attempt to post or upload content to the Site.

9) Testimonials and Publicity

If you voluntarily provide a testimonial, case study, review, or appear in a “member spotlight,” you grant RPG permission to use your name, likeness, and statements for marketing and communications, in any media, without additional compensation. You can withdraw permission for future use by contacting membership@referralprogroup.com; this will not require RPG to remove materials already in circulation.

10) Third-Party Services

We may integrate third-party services (e.g., payment processors, video platforms). Their terms and privacy policies govern your use of those services. RPG is not responsible for third-party services.

11) Disclaimers

The Site and services are provided “as is” and “as available.”
We do not warrant uninterrupted or error-free operation.
We make no warranties—express, implied, or statutory—regarding merchantability, fitness for a particular purpose, title, or non-infringement.
We do not guarantee referrals, revenue, or business outcomes.

Some jurisdictions do not allow certain disclaimers; to the extent prohibited, those disclaimers do not apply.

12) Limitation of Liability

To the maximum extent permitted by law:

RPG will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
RPG’s total liability for any claim arising out of or relating to these Terms or the services will not exceed the greater of: (a) the amounts you paid to RPG in the three (3) months before the event giving rise to the claim, or (b) $100.

These limits apply to any theory of liability. Some jurisdictions do not allow certain limitations; to the extent prohibited, those limits do not apply.

13) Indemnification

You will defend, indemnify, and hold harmless RPG, its affiliates, and their officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Site or services; (b) your violation of these Terms or law; or (c) your interactions, referrals, or agreements with other Members.

14) Termination

You may terminate by canceling your membership (Section 5.3). We may suspend or terminate your access at any time for violations, non-payment, fraud, or misuse. Upon termination, your license ends and certain provisions survive (including Sections 8, 9, 11–16).

15) Governing Law; Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

15.2 Informal Resolution

Before filing a claim, you agree to email membership@referralprogroup.com with a brief description of the issue and allow 30 days for informal resolution.

15.3 Arbitration and Class Waiver

Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the services will be resolved by binding arbitration before a single arbitrator under the rules of the American Arbitration Association (AAA). The seat and venue of arbitration will be Clark County, Nevada.
Class/Collective Actions Waiver: Disputes must be brought on an individual basis only; class, collective, consolidated, or representative actions are not permitted.

You may opt out of arbitration and the class waiver by sending written notice to membership@referralprogroup.com within 30 days of your first acceptance of these Terms.

16) Miscellaneous

Entire Agreement. These Terms, plus policies referenced here, are the entire agreement between you and RPG.
Changes. We may update these Terms as described in Section 1.
Severability. If any provision is unenforceable, the rest remain in effect.
No Waiver. Failure to enforce is not a waiver.
Assignment. You may not assign your rights or obligations without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.

Headings. Headings are for convenience only.
